1. Definitions

• "Agreement" means these Terms and Conditions together with any written engagement agreement entered into between you and Rivermark.
• "Services" means the B2B facilitation and advisory services offered by Rivermark, including Retreat Planning Working Sessions, Workshop Facilitation Engagements, and Off-site Programming Programmes.
• "We", "Us", "Our" refers to Rivermark, a business operating from Level 18, Vista Kiara, 5 Jalan Kiara II, Mont Kiara, 50480 Kuala Lumpur, Malaysia.
• "You", "User" refers to any individual or organisation accessing this website or engaging our Services.
• "Website" refers to the website operated by Rivermark at {{DOMAIN}}.
• "Content" refers to all written materials, documents, agendas, readouts, and other outputs produced by Rivermark in connection with the Services.

2. Acceptance of Terms

By accessing this website, submitting a contact form, or entering into a written engagement agreement with Rivermark, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms.

3. Description of Services

Rivermark provides B2B facilitation and advisory services centred on helping leadership teams plan and run internal sessions, workshops, and off-site programmes. Our three engagement types are:

• Retreat Planning Working Session — a facilitated planning session producing a working agenda, preparation note, and supporting materials list (RM 530).
• Workshop Facilitation Engagement — an engagement including agenda drafting, preparation conversations, in-room facilitation, and a written readout (RM 1,850).
• Off-site Programming Programme — a multi-week engagement designing the full programme for a two- or three-day internal off-site, including in-room facilitation and a closing readout (RM 4,250).

Services are primarily available within Malaysia. Engagements requiring travel outside the Klang Valley are subject to separate agreement on travel costs.

4. Engagement Terms

Each engagement begins with a written scope agreed upon by both parties. The scope document sets out the deliverables, timeline, and fee for the engagement. No work outside the agreed scope will be commenced without a separate written agreement.

Rivermark will carry out the agreed Services with reasonable skill and care. Session content and preparation conversations are treated as confidential and will not be disclosed to third parties outside the engagement agreement.

5. User Responsibilities

You agree to:

• Provide accurate and complete information when using this website or engaging our Services.
• Ensure that an appropriate internal sponsor is available for preparation conversations before each facilitated session.
• Not use this website or our Services for any unlawful purpose.
• Not attempt to gain unauthorised access to any part of this website or its related systems.

6. Intellectual Property

All Content produced by Rivermark in connection with the Services — including agendas, preparation notes, and written readouts — is provided to you for internal use by your organisation only. You may not reproduce, publish, or share such Content externally without Rivermark's prior written consent.

All other materials on this website, including text, design, and layout, are the intellectual property of Rivermark and may not be reproduced without permission.

7. Payment Terms

All fees are quoted and payable in Malaysian Ringgit (MYR). An invoice will be issued following agreement of the engagement scope. Payment terms are as specified on the invoice, typically 14 days from the invoice date. Late payment may result in suspension of services.

Fees quoted on this website include preparation and written outputs but exclude travel and accommodation for outstation engagements, which will be itemised separately.

Cancellations made with less than 5 business days' notice prior to a scheduled facilitated session may be subject to a cancellation fee of up to 50% of the engagement fee.

8. Disclaimers

Rivermark's Services are facilitation and operational consulting services. They do not constitute legal, financial, medical, or psychological advice. The information and materials on this website are provided for general informational purposes only.

While we take care to ensure that sessions are well-structured and preparation is thorough, we cannot represent that any specific outcome will result from the use of our Services. Decisions made by leadership teams during or after sessions remain entirely the responsibility of those teams.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Rivermark's total liability to you in connection with the Services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.

In no event shall Rivermark be liable for indirect, incidental, consequential, or special damages, including loss of business, revenue, or data.

Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under applicable Malaysian law.

10. Indemnification

You agree to indemnify and hold Rivermark harmless from and against any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms or your use of the Services in a manner inconsistent with the agreed scope.

11. Termination

Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy the breach within 10 business days of written notice.

Upon termination, any fees payable for work completed up to the termination date remain due. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.

12. Dispute Resolution

These Terms and any disputes arising from them are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion. If resolution cannot be reached within 30 days, the dispute may be referred to mediation or, if necessary, to the courts of Malaysia.

13. General Provisions

• Entire Agreement: These Terms, together with any written engagement agreement, constitute the entire agreement between the parties regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
• Notices: Notices under these Terms should be sent to legal@{{DOMAIN}} or to our registered address.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will be communicated via a notice on this website. Continued use of the website or engagement of Services after updated Terms are posted constitutes acceptance.
